This End User License Agreement ("Agreement") is a legally binding agreement between you ("User") and Chounda Tech (OPC) Private Limited ("Licensor", "Developer"), located at Vanitha Hospital, 3/231, Sankagiri Main Road, Kondalampatty, Salem – 636010, Tamil Nadu, India, governing your use of the NexOP mobile application ("the App"). By downloading, installing, or using the App via the Apple App Store or Google Play Store, you agree to be bound by this Agreement.
This Agreement is between the User and the Developer only. Apple Inc. and Google LLC are not parties to this Agreement and have no obligation to furnish maintenance or support. This Agreement does not supersede the Apple Media Services Terms and Conditions or Google Play Terms of Service.
NexOP is an outpatient visit registration and billing application intended for use by clinics and clinic staff to register patient visits, generate bills and receipts, and manage day-to-day front-desk operations. NexOP is not intended to function as a clinical documentation system or regulated Electronic Medical Record (EMR).
Subject to compliance with this Agreement, the Developer grants you a limited, non-exclusive, non-transferable, non-sublicensable license to install and use the App solely for your clinic's OP visit registration and billing purposes.
You may not: sell, rent, lease, sublicense, or redistribute the App; reverse engineer, decompile, or attempt to extract its source code; remove or alter any proprietary notices; or use the App in violation of applicable laws or healthcare regulations. This license also applies to updates unless otherwise specified.
Use of the App requires a compatible iOS or Android device, internet connectivity for sync and certain features, and an updated operating system version. The Developer is not liable for issues arising from unsupported devices or outdated software.
The Developer may, at its sole discretion, provide maintenance and support services. Apple and Google have no obligation to provide such services.
The App is a registration and billing productivity tool and does not provide medical advice, diagnosis, or treatment recommendations. The User is solely responsible for the accuracy and completeness of all data entered. The Developer is not designed to comply with regulatory frameworks such as HIPAA, GDPR, or UK Data Protection laws; users in restricted jurisdictions are prohibited from uploading protected health information through the App.
The User is responsible for ensuring compliance with applicable patient privacy laws and for obtaining necessary patient consent prior to entering any patient data. While the App uses reasonable safeguards, the User is responsible for maintaining the confidentiality of login credentials, preventing unauthorised access to the User's account and devices, and securing each device used to access the App. The User is encouraged to export important records regularly and store copies securely.
The User retains ownership of all uploaded content but grants the Developer a limited license to store, process, and display such data solely for the App's functionality.
The App provides an account deletion process. Upon final confirmation, all user data — including visit, billing, and patient records — will be permanently deleted from all systems, including third-party services such as Supabase and AWS. This action is irreversible, and the Developer is not liable for loss of data or inability to recover deleted records.
The App is provided on an "as-is" and "as-available" basis. It is not intended as a primary or sole system of record for clinical or medico-legal purposes, nor as a primary backup of user data. The Developer is not liable for downtime, server interruptions, or inaccessibility.
The Developer reserves the right to modify features, update functionality, or temporarily suspend services, and is not liable for workflow disruptions caused by App updates, dependency changes, or third-party API changes.
To the maximum extent permitted by law, the Developer is not liable for any loss of data resulting from the User's failure to maintain independent copies or use available export functions regularly, nor for indirect, incidental, or consequential damages. Total liability shall not exceed the amount paid by the User for NexOP in the preceding 12 months, calculated from the date of the event giving rise to the claim.
The User agrees to indemnify and hold harmless the Developer from any claims, damages, or legal costs arising from the User's breach of this Agreement, violation of applicable law or regulatory guidelines, or unauthorised disclosure of patient information.
This Agreement remains effective until terminated. It terminates automatically if the User violates any term. Upon termination, the User must cease all use and delete the App.
Use of the App is subject to the Apple App Store terms and Google Play Store terms.
All rights, title, and interest in the App remain the exclusive property of the Developer. This Agreement does not transfer any ownership rights to you.
This Agreement is governed by the laws of India, with jurisdiction in Salem, Tamil Nadu, India.
If any provision is invalid, the remainder remains enforceable. Failure to enforce any right shall not constitute waiver. This Agreement constitutes the entire agreement between the parties.
